               RECOMMENDED ORDER APPROVING SETTLEMENT
                          BETWEEN DON A. WEST AND
                  SYSTEMS APPLICATIONS INTERNATIONAL

     Don A. West and Systems Applications International have
submitted a Joint Motion to Approve Settlement, and have included
documents which reflect a settlement of all disputes involved in
this litigation.  Both parties seek approval of the settlement.

     Upon consideration of all settlement documents, including the
Settlement Agreement reached between West and Systems Applications
International and the Joint Memorandum in Support of Motion to
Approve Settlement, it is recommended that the Settlement Agreement
between Don A. West and Systems Application International be
APPROVED; and it is further recommended that all proceedings
against systems Applications International in this matter be
dismissed.
