                   ORDER APPROVING SETTLEMENT

     The parties in the above case have entered into a settlement agreement,
the terms and conditions of which are attached hereto, and incorporated
by reference herein.

     Respondents Halmar Corp. and DeFoe Corp. are ORDERED to pay
the sum of ,500.00 to Peter Nagy in accordance with the terms of the
settlement agreement.   Upon tender of said sum, the complaint of Peter
Nagy shall be dismissed with prejudice.
