                   ORDER APPROVING CONSENT AGREEMENT
                        AND DISMISSING COMPLAINT

     The attached settlement agreement by the parties fairly,
reasonably and adequately disposes of the allegations raised in
the complaint. 

     Accordingly, IT IS ORDERED that the settlement agreement is
approved and that this proceeding be and it hereby is, dismissed
with prejudice.
